It sets the terms that rarely change: limitation of liability, indemnities, intellectual-property ownership, confidentiality, data handling and security obligations, governing law, dispute resolution, term and termination rights. Individual purchases then happen through short order forms or statements of work that reference the MSA and only specify what is being bought, at what price, for how long. The structure exists so a second purchase does not require a second legal negotiation. Once the MSA is signed, adding a product or expanding a deployment becomes a one-page document rather than a three-week review — which is exactly why it deserves more attention than the order form, not less. The MSA is where the terms with real financial exposure live, and it is signed at the moment your leverage is highest and your urgency is lowest. Three things buyers routinely miss. First, precedence: most MSAs state that the MSA controls if an order form conflicts with it, so a promise made in an order form may be legally overridden by boilerplate you skimmed. Second, unilateral amendment: many SaaS MSAs incorporate online terms by reference and reserve the right to update them, which means the agreement can change without your signature — ask for material changes to require notice, and for the version in force to be the one attached at signature. Third, survival: which clauses outlive termination, particularly around data deletion, confidentiality and audit rights.
